Terms of Service

1. Agreement

By creating an account or using Shopclr (“Service”), you agree to these Terms of Service (“Terms”) between you and TMF Financial Consulting, LLC (“Shopclr,” “we,” “us”). If you do not agree, do not use the Service.

These Terms incorporate our Privacy Policy by reference.

2. What Shopclr Does

Shopclr is a financial analytics and seller protection platform that connects to your Etsy and Shopify accounts via their official APIs to read your transaction, order, and account data. We use this data to:

• Calculate your true net margin after all platform fees
• Monitor account health and surface risk alerts
• Build a unified buyer contact list from opted-in customers
• Generate AI-assisted appeal letters for platform disputes
• Provide cross-platform revenue analytics

Shopclr operates in read-only mode on your connected platforms. We do not modify, create, or delete any listings, orders, or buyer data on Etsy or Shopify.

3. Your Account

You must be at least 18 years old and have authority to connect the Etsy or Shopify accounts you link to Shopclr. You are responsible for maintaining the security of your account credentials. Notify us immediately at support@shopclr.com if you suspect unauthorized access.

One account may connect multiple shops subject to your subscription tier limits. You may not share your account with third parties or use a single account to serve multiple unaffiliated businesses (Agency tier covers managing portfolios for multiple clients).

4. Subscriptions and Payment

Shopclr offers paid subscription plans (Starter, Pro, Growth, Agency) billed monthly. All plans include a 14-day free trial — no credit card required to start.

Billing: Subscriptions are billed in advance each month. Payments are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis.

Cancellation: You may cancel at any time from account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

Price changes: We will provide 30 days written notice before changing subscription prices. Continued use after the effective date constitutes acceptance.

5. Acceptable Use

You agree not to:

• Use Shopclr to access data from shops you do not own or have explicit authorization to manage
• Attempt to reverse-engineer, scrape, or extract data from Shopclr's systems beyond normal use
• Use AI-generated appeal letters to submit false or misleading information to Etsy or Shopify
• Resell or redistribute Shopclr's output data to third parties without written permission
• Use the Service in any way that violates Etsy's or Shopify's Terms of Service
• Attempt to circumvent any security, rate limiting, or access controls

6. AI-Generated Content

Shopclr's Suspension Defense module uses Claude (Anthropic) to draft appeal letters. These drafts are provided as a starting point only. You are solely responsible for reviewing, editing, and submitting any appeal. Shopclr makes no warranty that AI-drafted appeals will result in reinstatement and is not liable for the outcome of any platform dispute.

7. Platform Dependencies

Shopclr depends on the Etsy Open API v3 and the Shopify Admin API. We are not affiliated with Etsy, Inc. or Shopify Inc. Platform API access may be modified, restricted, or discontinued by those companies at any time. Shopclr is not liable for service interruptions caused by changes to third-party APIs, platform policy changes, or your account being suspended by Etsy or Shopify.

8. Data and Intellectual Property

Your data: You retain full ownership of your business data (orders, buyers, listings). You grant Shopclr a limited license to process this data solely to provide the Service. This license terminates when you delete your account.

Our content: The Shopclr application, brand, UI, and any original content we create remain our intellectual property. You may not copy, modify, or distribute any part of the Shopclr application.

Feedback: If you provide feedback or suggestions, you grant us the right to use it without obligation or compensation.

9. Disclaimers and Limitation of Liability

Shopclr is provided “as is” without warranties of any kind. We do not guarantee that fee calculations will be perfectly accurate for every order type or promotional situation.

To the maximum extent permitted by law, Shopclr's total liability for any claim arising from use of the Service is limited to the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits, lost sales, or platform suspensions.

10. Termination

You may close your account at any time from settings. We may suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your access ends immediately. Data deletion follows the schedule in our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of Minnesota, USA. Any disputes shall be resolved in the state or federal courts located in Hennepin County, Minnesota. You agree to personal jurisdiction in those courts.
